June 16, 2021. Clarivate report demonstrates that nations or institutions with diverse research priorities respond more comprehensively to unprecedented scientific challenges. Clarivate released a new Global Research Report which examines the ability of nations and institutions to respond to unexpected challenges or opportunities in science, medicine, technology and social sciences based on the diversity of their research activities and expertise.


June 9, 2021. Clarivate announces proposed offerings of Ordinary Shares and Convertible Preferred Shares. Clarivate announced that it has commenced concurrent proposed offerings of $750 million of ordinary shares, alongside which certain existing shareholders intend to offer $250 million of ordinary shares (the "Ordinary Share Offering"), and $1.25 billion of Series A Mandatory Convertible preferred shares. Neither the completion of the Ordinary Share Offering nor the Convertible Preferred Share Offering is contingent upon completion of the other. The Offerings are both subject to market and other conditions, and there can be no assurance as to whether or when either Offering may be completed, if at all, or as to the actual size or terms of either Offering. Clarivate intends to use the net proceeds from the Offerings to finance a portion of the purchase price for its pending acquisition of ProQuest, announced on May 17, 2021. None of the Offerings is conditioned on consummation of the ProQuest acquisition. If the ProQuest acquisition is not consummated, Clarivate intends to use the net proceeds received by it from the Offerings for general corporate purposes.


May 18, 2021. Alt Legal integrates Clarivate Data to expand international trademark coverage. Alt Legal, Inc., an award-winning IP docketing software company, and Clarivate announced a partnership to integrate CompuMark international trademark data into the Alt Legal platform. Through this alliance, users of Alt Legal will gain access to CompuMark and its 186 trademark databases, covering all jurisdictions in the world.


April 22, 2021. Clarivate releases Predictive Analytics to help fuel life sciences deal making landscape. Clarivate announced the enhancement of Cortellis Deals Intelligence, a leading industry source of life science deals information. The new features include deal trend visualizations and predictive analytics, allowing users to confidently track the deal-making landscape and quickly understand the potential value of an asset.


January 25, 2021. Clarivate launches Web of Science My Research Assistant mobile application. Clarivate launched Web of Science My Research Assistant, a mobile-only application that enables scientific researchers to easily search, save and share publication records of the trusted research data in the Web of Science citation index using their mobile devices.


January 19, 2021. Clarivate announces change to Board of Directors. Clarivate announced that Karen G. Mills, a member of the board of directors, has informed the Company of her decision to step down from the board to spend time on other endeavors. With Ms. Mills' departure, the Clarivate Board will consist of 11 members.


November 30, 2020. Clarivate acquires Hanlim IPS. Clarivate announced that it has acquired South Korean Hanlim IPS.


November 9, 2020. Clarivate Divests Techstreet, its Standards Management Business, to a new For-Profit Subsidiary of The American Society of Mechanical Engineers. Clarivate and The American Society of Mechanical Engineers announced that the International Society of Interdisciplinary Engineers LLC, a new for-profit subsidiary of ASME, has acquired Techstreet.

May 16, 2021 Clarivate to acquire ProQuest
Clarivate announced a definitive agreement to acquire ProQuest, a leading global software, data and analytics provider to academic, research and national institutions, from Cambridge Information Group, a family-owned investment firm, and other partners including Atairos, for $5.3 billion, including refinancing of ProQuest debt. The consideration for the acquisition is approximately $4.0 billion in cash and $1.3 billion of equity. The transaction, which is subject to customary closing conditions, including regulatory approvals, is expected to close during the third quarter of 2021.

May 13, 2019 Clarivate Analytics becomes a public company through merger with Churchill Capital Corp
Clarivate Analytics, a global leader in providing trusted insights and analytics to accelerate the pace of innovation, and Churchill Capital Corp, a publicly traded investment vehicle, announced the closing of their merger following the receipt of stockholder approval at Churchill's special meeting of stockholders. In connection with the consummation of the merger, the combined company was renamed Clarivate Analytics Plc, and anticipates that starting on May 14, 2019, its ordinary shares and warrants will begin trading on the New York Stock Exchange and NYSE American under the symbols CCC and CCC WS, respectively.
