Clarivate Announces Change in Leadership Structure.
Clarivate announced that as part of its One Clarivate Vision to put even greater focus on its customers and solutions, effective February 1, Gordon Samson will become Chief Product Officer. Samson, who is currently President of the IP Segment, will support the four Clarivate customer verticals in this newly created and focused role. With this change, Mukhtar Ahmed, President of the Science Segment, will be leaving the company. Ahmed will work with Samson on the transition of the Science team and the ProQuest integration until April 1, 2022, then will remain in an advisory role to the company until his departure on October 1, 2022.

Clinical messaging is delivered in physician and pharmacist workflows, to help guide patients to better understand their treatment and disease and empower them to make informed healthcare decisions. Clarivate announces change in executive leadership.
Clarivate announced a change to our executive leadership team. Clarivate Executive Vice President and Chief Financial Officer Richard Hanks is leaving the company and will be succeeded by Jonathan Collins, who is currently Executive Vice President and CFO of Dana Incorporated. Collins will be joining Clarivate effective Dec. 16 as Executive Vice President and CFO. Hanks will remain with Clarivate until April 1 to support the CFO transition.

Clarivate announces private exchange offers for Two Series of Notes open to certain investors.
Clarivate announced that Clarivate Science Holdings Corporation, its indirect wholly owned subsidiary, has commenced a transaction to exchange two series of its outstanding notes as detailed below. In relation to Clarivate's previously announced acquisition of ProQuest, on July 28, 2021, Clarivate received a second request for documents and other information from the Federal Trade Commission, which is reviewing the Acquisition pursuant to authority under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. In view of the FTC's second request, on July 28, 2021, Clarivate and the equityholders of ProQuest entered into an amendment to their Transaction Agreement dated May 15, 2021, extending the outside date for completion of the Acquisition from November 8, 2021 to December 31, 2021, subject to further extension. Although the Company hopes to be in a position to complete the proposed Acquisition in the second half of 2021, the Company and the Seller Group each have the option to extend the new outside date to April 29, 2022.

Clarivate announced important changes to its senior leadership team and welcomed two new executives to the company. Steen Lomholt-Thomsen will join on August 2 in the newly created position of Chief Revenue Officer and Jaspal (Jas) Chahal joins as Chief Legal Officer and General Counsel. Gordon Samson, currently Clarivate head of APAC, will step into the role of President, IP Group effective immediately. Steve Hartman, General Counsel and Head of Corporate Development, and Jeff Roy, President, IP Group have stepped down to pursue opportunities outside Clarivate.

Clarivate announced a definitive agreement to acquire ProQuest, a leading global software, data and analytics provider to academic, research and national institutions, from Cambridge Information Group, a family-owned investment firm, and other partners including Atairos, for $5.3 billion, including refinancing of ProQuest debt. The consideration for the acquisition is approximately $4.0 billion in cash and $1.3 billion of equity. The transaction, which is subject to customary closing conditions, including regulatory approvals, is expected to close during the third quarter of 2021.
