Microtest enters agreement with Todd Enterprises: Todd Enterprises to acquire Microtest's high-end CD-ROM server maintenance activities

Abstract: Microtest Inc. announced that it has entered into a strategic agreement with Todd Enterprises, Inc., a major supplier of CD and DVD storage and systems equipment. Under the agreement, Todd Enterprises will acquire Microtest''s active enterprise maintenance contracts, a critical step in Microtest''s decision to direct its focus strictly on network attached storage products.


PHOENIX, August 16, 1999 - Microtest Inc. (NASDAQ: MTST), a leading developer of network test and measurement tools, network attached storage products, and CD-ROM networking technology, announced today that it has entered into a strategic agreement with Todd Enterprises, Inc., a major supplier of CD and DVD storage and systems equipment. Under the agreement, Todd Enterprises will acquire Microtest's active enterprise maintenance contracts, a critical step in Microtest's decision to direct its focus strictly on network attached storage products.

Effective August 16, 1999, Todd Enterprises will assume responsibility for all Microtest enterprise maintenance contracts, as well as continued sales of Microtest enterprise hardware and software. Terms of the agreement have not been disclosed. For more than fifteen years, Todd has been a leading innovator in CD-ROM -- and now DVD-ROM -- networking solutions for a variety of enterprise systems.
