Clarivate announces private exchange offers for Two Series of Notes open to certain investors. Clarivate announced that Clarivate Science Holdings Corporation, its indirect wholly owned subsidiary, has commenced a transaction to exchange two series of its outstanding notes as detailed below. In relation to Clarivate's previously announced acquisition of ProQuest, on July 28, 2021, Clarivate received a second request for documents and other information from the Federal Trade Commission, which is reviewing the Acquisition pursuant to authority under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. In view of the FTC's second request, on July 28, 2021, Clarivate and the equityholders of ProQuest entered into an amendment to their Transaction Agreement dated May 15, 2021, extending the outside date for completion of the Acquisition from November 8, 2021 to December 31, 2021, subject to further extension. Although the Company hopes to be in a position to complete the proposed Acquisition in the second half of 2021, the Company and the Seller Group each have the option to extend the new outside date to April 29, 2022. Clarivate announces changes to executive leadership team and adds Chief Revenue Officer. Clarivate announced important changes to its senior leadership team and welcomed two new executives to the company. Steen Lomholt-Thomsen will join on August 2 in the newly created position of Chief Revenue Officer and Jaspal (Jas) Chahal joins as Chief Legal Officer and General Counsel. Gordon Samson, currently Clarivate head of APAC, will step into the role of President, IP Group effective immediately. Clarivate announces proposed offerings of Ordinary Shares and Convertible Preferred Shares. Clarivate announced that it has commenced concurrent proposed offerings of $750 million of ordinary shares, alongside which certain existing shareholders intend to offer $250 million of ordinary shares (the "Ordinary Share Offering"), and $1.25 billion of Series A Mandatory Convertible preferred shares. Neither the completion of the Ordinary Share Offering nor the Convertible Preferred Share Offering is contingent upon completion of the other. The Offerings are both subject to market and other conditions, and there can be no assurance as to whether or when either Offering may be completed, if at all, or as to the actual size or terms of either Offering. Clarivate intends to use the net proceeds from the Offerings to finance a portion of the purchase price for its pending acquisition of ProQuest, announced on May 17, 2021. None of the Offerings is conditioned on consummation of the ProQuest acquisition.
