Reed International merges with Elsevier NV to form Reed Elsevier PLC

Reed Elsevier came into existence on January 1, 1993 when Reed International P.L.C., a UK company, and Elsevier NV, a Dutch company, contributed all their businesses to two jointly owned companies; Reed Elsevier plc, an operating company and Elsevier Reed BV, a finance company. Reed Elsevier is the name used to refer to the combination of Reed International P.L.C. and Elsevier NV and the two jointly owned subsidiaries. Under the equalization arrangements agreed at the time of the merger, ordinary shareholders in Reed International P.L.C. and Elsevier NV enjoy substantially equivalent dividend and capital rights with respect to their ordinary shares in the net income and net assets of Reed Elsevier.
